Terms of Service

These Terms of Service govern the use of the tools Xcelerate Brands provides at xcelrack.com, including xCast, and of the xcelrack.com website. By signing in to a tool or using the website, you agree to these Terms.

The tools are provided to clients of Xcelerate Brands as part of their account management services. The services agreement between Xcelerate Brands and the client governs the engagement, and where it conflicts with these Terms, the services agreement applies.

Accounts are created by invitation only, for clients and the people working on their accounts. You must keep your password and authenticator app secure, use two-step verification, and not share your account. You are responsible for activity under your account and must tell us at once if you suspect someone else has used it.

We may suspend access to protect an account or our systems, and access ends when the client's services with us end.

When you connect xCast to an Amazon seller account, you confirm that you are authorized to do so, and you allow xCast to request that account's inventory and order reports through the Amazon Selling Partner API on your behalf. xCast only reads these reports and never changes the Amazon account.

You can remove this access at any time from Seller Central. We use the data only as our Privacy Policy describes.

You agree not to:

• try to reach data, accounts or systems you are not authorized to use,
• test, probe or bypass our security, or interfere with the tools,
• copy, reverse engineer or resell the tools,
• upload files that contain malicious code or that you have no right to share,
• use the tools for anything unlawful.

Forecasts, shipment plans and purchase order quantities are planning aids calculated from the data available to the tool. They are not guarantees of future sales or stock levels. You remain responsible for your inventory, purchasing and shipping decisions.

The tools are included with Xcelerate Brands account management. There is no separate charge or subscription for them. Fees for our services are set in the client's services agreement.

Your business data remains yours. We process it only to provide the tools and services to you. You can ask for a copy at any time, and we delete it within 30 days after your services end or when you ask, as our Privacy Policy describes.

The tools, their software and the content of this website belong to Xcelerate Brands. Amazon, Seller Central and related marks are trademarks of Amazon.com, Inc. or its affiliates. xCast is not made or endorsed by Amazon.

We work to keep the tools available and accurate, but we may change, suspend or discontinue features, for example for maintenance or security. We tell clients in advance about changes that materially affect them.

The tools are provided as they are, to the extent the law allows. Xcelerate Brands is not liable for any indirect, incidental or consequential damages arising from the use of the tools, including decisions made from forecasts or recommendations, except where prohibited by law.

These Terms are governed by the laws of Wyoming, United States, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).
